Land Ownership in Thailand 2026: What Foreign Buyers Can Legally Own

Foreign buyers often hear contradictory statements about owning land in Thailand.

Some are told:

“Foreigners can never own land.”

Others hear:

“Just set up a Thai company.”

Others are offered a villa described as “freehold” even though the foreign buyer cannot legally own the underlying land personally.

The reality is more precise.

Foreign land ownership in Thailand is generally restricted, but narrow legal exceptions and alternative property rights exist.

The important distinction is between:

owning land

owning a building

leasing land

holding a registered right over land

owning a condominium

holding shares in a company that owns land

These are legally different positions.

For an international buyer, understanding those differences before signing a reservation agreement or transferring substantial funds is essential.

Can Foreigners Own Land in Thailand?

As a general rule, foreign individuals cannot freely acquire Thai land in their own name.

Thailand’s Land Code restricts land ownership by foreigners, while providing certain limited statutory exceptions.

For most international residential buyers, foreign land ownership in Thailand should therefore be treated as the exception rather than the normal ownership route.

This does not mean foreigners cannot legally acquire property in Thailand.

It means the legal structure depends on what is being purchased.

A condominium, villa, building, land lease and company-held property can each create a very different legal position.

For most private buyers, foreign land ownership in Thailand therefore requires understanding the available legal rights rather than looking for a simple freehold solution.

Land and Buildings Are Not Always the Same Asset

This distinction is particularly important for villa buyers.

Thai law can treat the land and the structure standing on it separately.

A foreign buyer may therefore be unable to own the land personally while potentially holding rights relating to the building.

A villa transaction can involve two distinct elements:

Land

and

Building

Depending on the structure, a foreign buyer might have:

a registered lease over the land

ownership rights relating to the house

a registered superficies

contractual rights within an estate

The expression “I own the villa” is therefore not legally precise enough.

Before buying, establish:

Who owns the land?

Who owns the building?

What legal right allows the foreign buyer to use the land?

What will actually be registered at the Land Office?

These questions are fundamental to foreign land ownership in Thailand.

Condominiums Follow a Different Ownership Regime

Foreign condominium ownership is governed separately.

A qualifying foreign buyer may own a condominium unit directly under foreign freehold, subject to the statutory foreign ownership quota and other requirements.

The foreign quota is based on 49% of the aggregate floor area of all units in the registered condominium, not 49% of each individual unit.

A qualifying foreign buyer can therefore own 100% of an individual condominium unit.

For the complete condo ownership rules, see JFTB’s Buying a Condo in Phuket as a Foreigner.

Condominium freehold should not be confused with foreign land ownership in Thailand. A condominium title and a land title operate under different legal frameworks.

The Section 96 bis Exception

Thailand does contain a statutory route under Section 96 bis of the Land Code allowing a foreign individual to apply to acquire a limited amount of residential land. The Department of Lands provides a specific official procedure for residential land acquisition by foreigners under Section 96 bis.

The route is narrow.

The principal conditions include:

investment of at least THB 40 million

investment through qualifying forms permitted by the applicable rules

maintenance of the qualifying investment for the required period

land limited to one rai, approximately 1,600 square metres

residential use

acquisition in qualifying locations

approval by the relevant authorities

This is a genuine legal exception, but it is not the normal route used by foreign residential buyers.

Section 96 bis Is Not a General THB 40 Million Property Rule

One of the most important misconceptions is:

“If I buy a THB 40 million villa, I can own the land.”

That is not what Section 96 bis means.

The qualifying investment requirement and the acquisition of residential land are separate parts of the statutory framework.

Simply buying a villa worth THB 40 million does not automatically create the right to register the underlying land personally in a foreign buyer’s name.

The investment must qualify under the applicable rules, and the land acquisition itself requires approval.

For this reason, foreign land ownership in Thailand under Section 96 bis should never be presented as an automatic benefit attached to an expensive property purchase.

Is Section 96 bis Practical for an Ordinary Villa Buyer?

Usually, it should not be the structure around which an ordinary Phuket villa transaction is planned.

The combination of:

a substantial qualifying investment

prescribed investment conditions

a one-rai ceiling

location requirements

governmental approval

continuing compliance

makes the route highly specialised.

Foreign buyers should therefore not allow an agent, seller or developer to use Section 96 bis as a vague reassurance that foreign freehold land ownership is easily available.

Anyone genuinely considering this route should obtain independent legal advice based on the current Thai-language legislation, regulations and Land Office procedure.

This is why foreign land ownership in Thailand under Section 96 bis remains a specialised exception rather than a standard residential purchase route.

Inheriting Land Is a Separate Legal Issue

Inheritance does not create a general loophole allowing foreigners unrestricted ownership of Thai land.

Section 93 of the Land Code provides a specific route for a foreign statutory heir who acquires land through inheritance, subject to statutory conditions and ministerial permission.

The estate, the heir’s status and the applicable land limits must therefore be examined before assuming that inherited land can simply remain registered indefinitely in the foreign heir’s name.

This is especially important for Thai-foreign families.

Succession planning should be considered when the property structure is created rather than only after the owner dies.

JFTB covers this separately in its guide to Inheriting Property in Thailand as a Foreigner.

Marriage to a Thai Citizen Does Not Give the Foreign Spouse Land Ownership

Marriage does not give a foreign spouse an automatic right to own Thai land.

A Thai national married to a foreigner may legitimately acquire land in their own name, subject to the applicable Land Office procedure.

But this should not be described as:

“The Thai spouse owns it, so both spouses own the land.”

The foreign spouse does not automatically become a registered co-owner.

This distinction has important consequences for:

divorce

death

succession

financing

occupation rights

sale of the property

Foreign land ownership in Thailand does not arise simply through marriage.

Marriage can affect property planning, but it does not by itself create foreign land ownership in Thailand.

Thai-Spouse Ownership Requires Proper Planning

Where land is genuinely acquired by a Thai spouse, the couple should consider how the foreign spouse’s position is protected.

Depending on the circumstances, questions may arise concerning:

ownership of the building

usufruct

superficies

occupation rights

succession

wills

rights if the Thai spouse dies

future sale

The appropriate structure depends on the family situation and the property.

Marriage should never be used as a substitute for independent legal structuring.

Leasehold Is a Right to Use Land, Not Ownership

Leasehold is commonly used for foreign villa purchases.

The crucial point is simple:

A lease does not transfer ownership of the land.

The landowner remains the registered owner.

The lessee receives rights under the registered lease for the agreed term.

For ordinary immovable property, the principal registered lease term is generally limited to 30 years.

So:

Freehold = ownership

Leasehold = right to use for a defined term

This article does not duplicate JFTB’s dedicated Thailand Property: Freehold vs Leasehold guide, which examines the commercial and legal differences between the two structures in detail.

What About 30+30+30?

A property marketed as a 30+30+30 lease should not be valued as though the buyer already holds a guaranteed registered 90-year property right.

The initial registered lease and future promised renewals are not the same legal asset.

Thai Supreme Court Decision No. 4655/2566 is particularly relevant to arrangements structured from the outset to circumvent the statutory lease-term limitation.

JFTB addresses that issue separately in its dedicated Thailand 30+30+30 Lease guide.

For the buyer considering land ownership alternatives, the essential rule is:

Do not confuse promised future renewals with present registered ownership.

What Is a Superficies?

A superficies can be particularly useful where ownership of a building needs to be separated from ownership of the underlying land.

In simplified terms, it may allow a person to have rights relating to buildings or structures situated on land owned by another person.

For villa transactions, this distinction can be important because the foreign buyer’s legal position may combine:

a right over the land

with

separate rights relating to the building.

A superficies does not turn the land into foreign freehold.

The land remains owned by the registered landowner.

A superficies can strengthen a buyer’s legal position without changing the underlying rules on foreign land ownership in Thailand.

What Is a Usufruct?

A usufruct can provide rights to use and enjoy property belonging to another person.

It can be relevant, for example, in certain family situations where land is owned by a Thai spouse.

Again, the foreigner does not become the landowner.

The foreigner holds a legal right affecting property owned by someone else.

That distinction is fundamental to understanding foreign land ownership in Thailand.

Lease, Usufruct and Superficies Are Different Rights

These structures should not be treated as interchangeable.

A lease primarily creates contractual and registered rights to use property for a defined term.

A usufruct provides rights to use and enjoy property belonging to another person.

A superficies can help separate rights relating to a building from ownership of the land.

The correct structure depends on factors including:

the property

landowner

buyer

intended use

duration

succession strategy

future resale

There is no single solution suitable for every foreign buyer.

Can a Thai Company Own Land?

A qualifying Thai company may own land under Thai law.

But that does not mean a foreign buyer can safely create a nominal Thai company purely as a personal proxy for owning land.

This distinction is crucial.

A genuine Thai operating company and a company constructed using nominee shareholders are not the same thing.

The existence of 51% Thai shareholding on paper does not by itself establish that a landholding structure is legitimate.

Company ownership should therefore never be presented as a shortcut to foreign land ownership in Thailand.

Company Ownership and Nominee Risk

Authorities can examine the reality behind the company, including issues such as:

source of shareholder funds

genuine capital contributions

actual shareholder participation

company activity

control

economic substance

Thai shareholders should not simply be names inserted into corporate documents on behalf of a foreign purchaser.

For a detailed treatment of corporate structures, existing companies, share transfers and nominee risk, see JFTB’s dedicated Buying Property Through a Company in Thailand guide.

For this article, the principle is enough:

A Thai company is a separate legal entity. If it owns the land, the company owns the land. The foreign shareholder does not personally become the registered landowner.

Buying an Existing Company-Held Villa

A number of Phuket resale villas are offered together with an existing Thai company.

This requires additional caution because acquiring shares can also mean acquiring the history of the company.

The transaction may require review of:

company accounts

tax filings

existing liabilities

shareholders

directors

contracts

mortgages

litigation

corporate compliance

This falls directly within proper Property Due Diligence in Thailand.

A beautiful villa does not eliminate corporate risk.

BOI and Other Special Business Structures

Certain qualifying businesses may benefit from investment-promotion rules that allow specific land rights connected with their approved activities.

These are specialised business regimes.

They should not be confused with an ordinary foreign individual establishing a company to acquire a holiday home.

Special corporate rights do not create a general residential land-ownership pathway for foreign buyers.

A Foreign Buyer Can Still Acquire a Villa Legally

Thailand’s restrictions on land ownership do not mean foreign buyers cannot legally acquire meaningful and commercially valuable rights in villas.

Depending on the transaction, a legitimate structure may involve:

registered leasehold

separate rights relating to the building

superficies

estate agreements

carefully drafted contractual rights

succession planning

The structure should be designed around the actual property.

It should never be selected merely because it sounds reassuring in a sales brochure.

Be Careful With the Expression “Foreign Freehold Villa”

When a villa is advertised as:

“Foreign Freehold”

ask:

What exactly is freehold?

It could refer to:

the building rather than the land

company shares

an ownership structure being described imprecisely

a marketing expression rather than a registrable legal right

For most standard residential transactions, a foreign buyer cannot simply register the underlying Thai land personally because an advertisement calls the villa “freehold”.

Ownership and Control Are Different

This is one of the most useful principles in foreign land ownership in Thailand.

A foreigner can potentially possess substantial legal rights over land without owning the land itself.

Examples may include:

leasehold rights

usufruct

superficies

contractual rights

These rights can have genuine value.

But they should be described accurately.

A legal right over someone else’s land is not the same thing as ownership of the land.

Ownership Structure Affects Resale

The ownership structure also affects the eventual exit.

A foreign-freehold condominium and a villa with a diminishing land lease are different assets.

A villa held through an established Thai company creates another set of issues.

A property involving a Thai spouse and personal registered rights creates another structure again.

Future buyers will examine the rights they are acquiring.

Therefore, foreign land ownership in Thailand is not only a legal question at purchase. It is also a resale and valuation issue.

For that reason, foreign land ownership in Thailand also has a direct impact on future marketability and exit strategy.

Remaining Lease Term Can Affect Value

For leasehold property, time matters.

A property with almost the full registered lease term remaining is different from the same physical villa with a substantially shorter remaining term.

As time passes, the legal asset changes even if the villa itself remains unchanged.

This can affect:

resale demand

negotiation

pricing

buyer confidence

financing

Leasehold should therefore be analysed as both a legal structure and a time-limited economic asset.

Succession Should Be Considered From the Beginning

Foreign buyers should also establish what happens when the buyer, spouse, landowner or shareholder dies.

Depending on the structure, rights may be:

inheritable

transferable

personal

dependent on contract terms

affected by probate

affected by statutory foreign ownership restrictions

A structure that works during the buyer’s lifetime may create substantial difficulty for heirs if succession was ignored when the property was purchased.

Do Not Confuse “Control” With Legal Ownership

Foreign property marketing sometimes uses expressions such as:

“full control”

“economic ownership”

“beneficial ownership”

“90-year ownership”

“same as freehold”

Those expressions should trigger further investigation.

The better question is:

What legal right will actually be registered?

Private contracts and corporate arrangements should not be described as though they automatically convert into personal freehold land ownership.

Foreign Land Ownership Checklist

Before buying a villa, house or land-linked property in Thailand, establish at minimum:

Who owns the land?

What land title exists?

Who owns the building?

What legal right will the foreign buyer acquire?

What will actually be registered at the Land Office?

How long does that right last?

Can it be transferred?

Can it pass to heirs?

Are there mortgages or other encumbrances?

Is legal access registered?

Does the structure depend on a Thai company?

If so, is that company genuine and compliant?

For the complete investigation process, use JFTB’s Property Due Diligence in Thailand.

Foreign Land Ownership Is Not the Same as Buying Land

This article answers:

Who can own Thai land and what legal rights can a foreign buyer hold?

A separate question is:

Is this specific land plot suitable and legally capable of being developed?

That involves subjects such as:

Chanote and other land titles

boundaries

surveys

legal access

easements

zoning

building setbacks

road width

environmental restrictions

slope

drainage

utilities

coastal restrictions

buildability

Those issues belong in JFTB’s separate Buying Land in Thailand: Titles, Zoning & Building Rules guide.

Keeping the subjects separate avoids confusing ownership rights with land-development due diligence.

Good legal structuring starts by recognising what foreign land ownership in Thailand permits, restricts and treats as a separate registered right.

Common Foreign Land Ownership Mistakes

Common mistakes include:

assuming marriage creates joint land ownership

confusing leasehold with freehold

treating 30+30+30 as guaranteed 90-year ownership

accepting “foreign freehold villa” without identifying the landowner

creating a company solely as a nominee landholding vehicle

buying shares without corporate due diligence

assuming inheritance automatically overrides foreign land restrictions

treating usufruct or superficies as ownership

committing substantial funds before the legal structure has been reviewed

The ownership structure should be understood before the property is purchased, not reconstructed afterwards.

Frequently Asked Questions

Can a foreigner own land in Thailand?

Generally, foreigners cannot freely acquire Thai land in their personal name. Limited statutory exceptions exist, including Section 96 bis, but they involve significant conditions and government approval.

Can a foreigner own one rai of land in Thailand?

Section 96 bis provides a limited route under which a qualifying foreign investor may apply to acquire up to one rai of residential land, subject to the required investment, location requirements and official approval.

Is buying a THB 40 million villa enough to own the land?

No. A villa purchase worth THB 40 million does not by itself satisfy the legal requirements for land ownership under Section 96 bis.

Can marriage to a Thai citizen allow a foreigner to own land?

No. Marriage does not give the foreign spouse an automatic right to register Thai land personally.

Can a foreigner own a house in Thailand?

Land and building rights can potentially be separated. The exact rights over the building and land must be established from the title, registered rights and contractual structure.

Can a foreigner lease land?

Yes. Leasehold is commonly used, but it grants rights to use the land rather than ownership of the land.

Is a 30+30+30 lease a guaranteed 90-year right?

No. The initial registered lease and promised future renewals should not be treated as one guaranteed 90-year registered property right.

Can a foreigner have a usufruct?

A usufruct may be available in appropriate circumstances, but it provides rights to use and enjoy another person’s property rather than ownership of the land.

What is a superficies?

A superficies can provide rights relating to structures situated on land owned by another person. It may be relevant where land and building rights need to be separated.

Can a Thai company own land?

A qualifying Thai company may own land. This does not make nominee structures legal, nor does a foreign shareholder personally become the registered landowner.

Is a company with 51% Thai shareholders automatically safe?

No. Share percentages alone do not establish legitimacy. The actual funding, ownership, shareholder participation and economic substance of the company matter.

Can foreigners inherit Thai land?

Thai law provides a specific procedure for foreign statutory heirs under Section 93 of the Land Code. Inheritance should therefore be reviewed under the applicable succession and land-ownership rules rather than assumed to create unrestricted foreign ownership.

Can foreigners own condominiums freehold?

Yes. Qualifying foreigners can own condominium units under foreign freehold subject to the applicable condominium rules and foreign ownership quota.

Foreign Land Ownership with JFTB

The central principle behind foreign land ownership in Thailand is straightforward:

Do not describe a legal right as something it is not.

A lease is not land ownership.

A company share is not a personal land title.

A usufruct is not freehold.

A superficies does not transfer ownership of the underlying land.

Marriage does not automatically create foreign land ownership.

And Section 96 bis does not mean that any foreign buyer spending THB 40 million can automatically purchase a Phuket villa with the land registered personally.

JFTB Real Estate Phuket assists international buyers with property sourcing, negotiation, ownership-structure analysis and coordination of independent legal and technical due diligence.

Before committing to a landed property in Thailand, the objective should be simple:

identify the landowner, identify exactly what rights the foreign buyer will acquire, and understand how those rights behave over time.

If you are considering a villa, house or land-linked property in Phuket and want the proposed ownership structure reviewed before committing, contact JFTB Real Estate Phuket before signing or paying a substantial deposit.

Foreign buyers often hear contradictory statements about owning land in Thailand.
